Terms of Service

These Terms govern your use of green glass, a wine recommendation app operated by Golden Egg Media LLC. By using the app, you agree to these Terms. You must be 17 or older and of legal drinking age. Recommendations are AI-generated suggestions, not professional advice. Drink responsibly.

1. Acceptance of these Terms

These Terms of Service ("Terms") form a binding agreement between you and Golden Egg Media LLC ("Golden Egg Media", "we", "us", or "our") and govern your access to and use of the green glass mobile application, the website at sipgreenglass.com, and any related services (collectively, the "Service"). By creating an account, downloading the app, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You may use the Service only if you are at least 17 years old and of legal drinking age in the jurisdiction where you reside and where you use the Service. You represent and warrant that you meet these requirements. If we learn that you do not, we may suspend or terminate your account.

3. Your account

You are responsible for the activity that occurs under your account and for keeping your authentication credentials (including any third-party sign-in account you use) secure. You agree to provide accurate information and to keep it up to date. You may not share your account, create more than one account for yourself, or impersonate another person.

You can delete your account at any time from inside the app at Profile → Delete My Account. We may suspend or terminate your account at any time as described in Section 11.

4. License to use the Service

Subject to your compliance with these Terms, Golden Egg Media grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the green glass app on a device you own or control, and to access the Service for your personal, non-commercial use. We reserve all rights not expressly granted.

5. Acceptable use

You agree not to:

• use the Service in any way that violates applicable law or regulation, including laws governing alcohol;
• copy, modify, reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service except where applicable law forbids that restriction;
• scrape, crawl, or use automated means to access the Service, or access the Service through any non-public API;
• interfere with, disrupt, or place an unreasonable load on the Service or its underlying infrastructure;
• attempt to gain unauthorized access to any account, system, or data;
• upload content that is illegal, infringing, defamatory, harassing, or that contains malware;
• use the Service to harm minors;
• use the Service to develop a competing product, or to train or fine-tune a competing machine-learning model.

6. Your content and the license you grant us

The Service lets you submit content, including photos of wine lists, taste preferences, ratings, notes, and other information ("Your Content"). You retain ownership of Your Content.

By submitting Your Content, you grant Golden Egg Media a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, copy, transmit, process, display, and otherwise use Your Content as needed to operate, provide, secure, and improve the Service, including to develop, train, fine-tune, and evaluate our machine-learning models as described in our Privacy Policy. You represent that you have all rights necessary to grant this license.

7. AI-generated content disclaimer

The Service uses artificial intelligence to read wine lists and generate recommendations. AI output can be inaccurate, incomplete, or out of date. Wine names may be transcribed incorrectly, vintages and producers may be misidentified, and recommendations may not reflect what is actually available at a venue. AI-generated label imagery, where shown, is illustrative and may not depict the actual bottle. Always verify wine details with restaurant staff or the producer before relying on them. The Service is informational only and is not a substitute for professional sommelier or medical advice.

8. Alcohol and responsibility

green glass is a tool for adults of legal drinking age. Drink responsibly. Do not drink and drive. Do not consume alcohol if you are pregnant, nursing, taking medication that interacts with alcohol, or have a medical condition that makes alcohol consumption inadvisable. According to the U.S. Surgeon General, women should not drink alcoholic beverages during pregnancy because of the risk of birth defects, and consumption of alcoholic beverages impairs your ability to drive a car or operate machinery and may cause health problems. You are solely responsible for your own consumption and for compliance with all alcohol-related laws in your jurisdiction.

9. Third-party services

The Service relies on third-party platforms and service providers to function (for example, the operating system on your device, the app store you downloaded the app from, the authentication provider that signs you in, and the AI provider that processes wine list photos). Your use of those third-party services is also subject to their own terms and privacy policies, and we are not responsible for them.

10. Intellectual property

The Service, including its software, design, text, graphics, "green glass" name and marks, and underlying technology, is owned by Golden Egg Media LLC and its licensors and is protected by intellectual-property laws. Except for the limited license in Section 4, these Terms do not transfer any of our intellectual-property rights to you. You may not use our marks without our prior written permission.

11. Termination

You may stop using the Service or delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, if termination is required to comply with law, or for any other reason. Sections 6 (license to Your Content as it relates to data already incorporated into models), 7, 8, 10, and 12 through 17 survive termination.

12. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that AI-generated recommendations will be accurate, complete, or suitable for any particular purpose.

13. Limitation of liability

To the maximum extent permitted by law, in no event will Golden Egg Media LLC, its affiliates, or its officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or use, arising out of or relating to your use of the Service, even if advised of the possibility of such damages. Our aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us, if any, in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages; in those jurisdictions, our liability is limited to the smallest extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Golden Egg Media LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) Your Content, (c) your violation of these Terms or applicable law, or (d) your violation of any rights of a third party.

15. Governing law, venue, and dispute resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The exclusive jurisdiction and venue for any dispute arising out of or relating to these Terms or the Service will be the state and federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

Class-action waiver. To the maximum extent permitted by law, you and Golden Egg Media each agree that any dispute will be resolved on an individual basis and not as part of a class, consolidated, or representative action. You and Golden Egg Media each waive any right to a jury trial.

16. Apple-specific terms

If you obtained the green glass app through the Apple App Store, the following additional terms apply, and in case of conflict with the rest of these Terms, the following control with respect to your use on Apple devices:

• These Terms are an agreement between you and Golden Egg Media only, and not with Apple Inc. ("Apple"). Apple is not responsible for the app or its content.
• Your license to use the app is limited to use on any Apple-branded products that you own or control, as permitted by the Apple App Store Terms of Service.
• Apple has no obligation to furnish any maintenance and support services with respect to the app.
• In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the app to you. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the app.
• Golden Egg Media, not Apple, is responsible for addressing any claims relating to the app or your possession or use of it, including product liability claims, claims that the app fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer-protection or similar legislation.
• In the event of any third-party claim that the app or your possession and use of it infringes that third party's intellectual-property rights, Golden Egg Media, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of such claim.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Effective date" at the top of this page and, for material changes, we will provide additional notice (for example, by an in-app notice or by emailing the address associated with your account). Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.

18. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and Golden Egg Media regarding the Service. If any provision is held unenforceable, the remaining provisions will continue in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them freely. Notices to us must be sent to green.glass@goldenegg.media.
